SYNC LICENSE AGREEMENT

This Sync License Agreement ("Agreement") is entered into between Warren Lamb / Lamb Music Works ("Licensor") and the licensing party ("Licensee"). The specific track, project details, territory, media type, term, and fee will be confirmed in writing (email or formal document) prior to file delivery. By proceeding with payment, Licensee agrees to the terms below.

GRANT OF LICENSE

Lamb Music Works ("Licensor") grants the client ("Licensee") a limited, non-exclusive, non-transferable license to synchronize the licensed musical composition with visual media as specified at time of agreement. This license is project-specific and does not extend to other productions, sequels, or derivative works without a separate agreement.

PERMITTED USE

The Licensee may use the licensed track in the specified project for the agreed media type (e.g., film, TV, advertisement, digital content). Use is limited to the territory, media platform, and term length agreed upon in writing. Commercial exploitation beyond the agreed scope requires an upgraded or separate license.

MUSIC CREDIT

All uses must include the following credit where technically feasible: "[Track Title]" Written & Produced by Warren Lamb © Lamb Music Works. All Rights Reserved. For film/TV, credit must appear in the end credits or production documentation.

FEES & PAYMENT

License fees are agreed upon in writing prior to delivery of files. Full payment is required before the track is delivered or cleared for use. Fees are non-refundable once files have been delivered. Rush licensing (under 48 hours) may incur an additional fee.

PUBLISHING & ROYALTIES

Warren Lamb retains 100% of the publishing rights and songwriter's share unless a co-publishing deal is separately negotiated in writing. Performance royalties collected through PROs (ASCAP, BMI, SESAC) are the responsibility of the broadcaster or platform, not the Licensee.

EXCLUSIVITY

Unless explicitly stated as an "Exclusive Sync License" in writing, all sync licenses are non-exclusive. The Licensor retains the right to license the same composition to other clients for different projects.

TERM & TERRITORY

The license is valid for the term and territory specified in the written agreement. Default term is 2 years for digital content and project-specific for film/TV. Worldwide rights are available at an additional fee.

PROHIBITED USES

The Licensee may not: re-license or sublicense the track to third parties; use the track in pornographic, hateful, or defamatory content; claim authorship or ownership of the music; or use the track beyond the agreed scope without written approval.

GOVERNING LAW

This agreement is governed by the laws of the State of California. Any disputes shall be resolved through binding arbitration in Los Angeles County, CA.
