EXCLUSIVE RIGHTS AGREEMENT

This Agreement is entered into upon full payment by the Licensee. The specific Beat title, purchase price, and any custom terms will be confirmed in writing prior to or at the time of purchase. By completing payment, the Licensee agrees to all terms below.

GRANT OF EXCLUSIVE RIGHTS

This Exclusive Rights Agreement ("Agreement") transfers exclusive usage rights of the specified musical composition ("the Beat") from Warren Lamb / Lamb Music Works ("Licensor") to the purchasing party ("Licensee"). Upon full payment, the Beat will be removed from public sale and no further leases or licenses will be issued to third parties.

WHAT IS INCLUDED

• MP3, WAV, and full stems/tracked-out files • Exclusive master recording usage rights • Unlimited streams, downloads, and distribution • Unlimited music video usage • Full commercial and radio broadcast rights • Sync and visual media rights (film, TV, advertising) • The right to register the master with your distributor

PUBLISHING & SONGWRITER RIGHTS

Warren Lamb retains 100% of the publishing rights and the songwriter's share of the composition unless a separate co-publishing or work-for-hire arrangement is explicitly negotiated and agreed upon in writing prior to purchase. This means: • Licensee owns the master recording usage rights • Warren Lamb retains the composition copyright and publishing • Both parties may collect their respective royalties independently • PRO registrations (ASCAP/BMI) remain with Warren Lamb for the composition

CREDIT REQUIREMENT

Producer credit is strongly preferred and professionally expected: "Prod. by Warren Lamb / Lamb Music Works" If the Licensee wishes to waive the producer credit, this must be negotiated and agreed upon in writing at the time of purchase for an additional fee.

DELIVERY

All files will be delivered digitally within 24–48 hours of confirmed full payment. The Beat will be removed from the store and all active leases will be notified of the exclusive sale, with existing leases allowed to fulfill their current term only.

NO RESALE OR SUBLICENSING

The Licensee may not resell, sublicense, re-lease, or otherwise transfer the Beat or rights granted under this Agreement to any third party. The rights granted are for the Licensee's personal or business use only.

REPRESENTATIONS

The Licensor represents that they are the sole owner of the Beat and have full authority to grant these rights. The Beat does not infringe on any third-party copyright. The Licensee represents that their use of the Beat will comply with all applicable laws.

GOVERNING LAW

This Agreement is governed by the laws of the State of California. Any disputes shall be resolved by binding arbitration in Los Angeles County, CA.
